These Terms of Service govern your access to and use of EM AI and related services provided by Executive Minds LLC. By purchasing, accessing, or using these Services, you agree to these Terms.
Important: EM AI is a business decision-support service. AI-generated outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for your specific circumstances. You are responsible for reviewing and validating outputs before use.
“Executive Minds,” “we,” “us,” and “our” refer to Executive Minds LLC.
“You” and “your” refer to the person or organization using the Services.
“Services” include EM AI, subscriptions, support, consulting, coaching, workshops, digital products, and related offerings.
“User Content” means any data, prompts, uploads, documents, files, comments, business information, instructions, feedback, or other materials you provide.
“Outputs” means AI-generated materials from EM AI, including responses, summaries, recommendations, plans, frameworks, templates, analyses, drafts, or other generated materials.
These Terms apply to EM AI and related services provided by Executive Minds LLC.
If you enter into a separate written agreement, proposal, order form, statement of work, data processing agreement, or other signed agreement with Executive Minds LLC, that separate agreement will control if it directly conflicts with these Terms.
The Services are intended for business, professional, and commercial use.
You confirm that you are at least 18 years old and legally able to enter into these Terms.
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that company or organization to these Terms.
EM AI is an AI-powered business decision-support subscription service.
EM AI may provide access to AI tools, frameworks, educational content, prompts, workflows, templates, planning support, and related resources.
EM AI is designed to support business thinking, planning, strategy, execution, and education. It does not replace your independent judgment, human review, or professional advice.
Executive Minds LLC may provide related services, including onboarding, training, support, coaching, implementation guidance, workshops, and customer success support.
No specific result is guaranteed unless expressly stated in a separate written agreement signed by Executive Minds LLC.
Executive Minds LLC may also provide services involving AI strategy, consulting, training, platform support, workflow design, automation support, coaching, workshops, digital products, or third-party tools.
Unless expressly stated in writing, Executive Minds LLC is not affiliated with, endorsed by, sponsored by, or acting as an agent of any third-party platform.
You must provide accurate, current, and complete information when creating an account or purchasing Services.
You are responsible for keeping your login credentials confidential and for securing account access.
You are responsible for all activity under your account, including activity by employees, contractors, team members, or other authorized users.
EM AI is currently offered as an annual subscription.
Unless otherwise stated at checkout, annual subscriptions renew until cancelled.
By purchasing an annual subscription, you authorize Executive Minds LLC and its payment processor to charge the payment method provided at purchase for subscription fees, renewal fees, applicable taxes, and related charges.
Payments may be processed through a third-party payment processor.
Payment processing is subject to the payment processor’s own terms, privacy policy, risk controls, fraud controls, dispute processes, and card-network rules.
Executive Minds LLC does not intentionally store full credit card numbers.
You may cancel your subscription at any time.
Cancellation stops future renewal charges. It does not refund amounts already paid.
If you cancel during an active annual subscription term, access continues until the end of the paid period unless your account is suspended or terminated under these Terms.
We recommend cancelling at least 7 days before your renewal date to avoid unintended renewal charges.
All fees are final and non-refundable except where required by applicable law or expressly agreed by Executive Minds LLC in writing.
No prorated, partial, or unused-time refunds are provided after payment.
This applies to annual subscription fees, renewal payments, onboarding fees, support fees, training fees, coaching fees, consulting fees, workshops, digital products, setup fees, and related or unrelated Executive Minds LLC services.
If you believe there has been a billing error, duplicate charge, unauthorized charge, or other payment issue, please contact [email protected] before initiating a payment dispute.
Unpaid charges, reversed payments, disputed payments, declined payments, or chargebacks may lead to suspension or termination of access.
Nothing in these Terms limits any non-waivable rights you may have under applicable law or card-network rules.
EM AI uses third-party AI providers and infrastructure.
Executive Minds LLC is your direct service provider. Third-party providers do not have a direct contractual relationship with you and have no contractual obligations to you.
Third-party infrastructure may support AI functionality, hosting, payment processing, CRM, email, forms, calendar booking, meetings, webinars, recordings, transcription, analytics, automation, security, and other operational services.
We may modify, replace, suspend, migrate, or discontinue any third-party provider, AI model, feature, integration, or infrastructure component at any time.
Executive Minds LLC owns its branding, customer-facing materials, frameworks, templates, prompts created by Executive Minds LLC, and related assets.
Executive Minds LLC does not own all underlying third-party AI technology, models, platforms, software, datasets, algorithms, or systems used to provide EM AI.
All rights in third-party AI infrastructure remain owned by the applicable third-party providers.
You retain ownership of your original User Content.
You grant Executive Minds LLC a limited, non-exclusive, worldwide license to process, transmit, store, display, and use your User Content as reasonably necessary to provide, maintain, secure, support, and improve the Services.
You represent that you have all rights, permissions, and authority necessary to submit User Content to the Services.
Outputs may be incomplete, inaccurate, outdated, biased, misleading, or unsuitable for your specific circumstances.
You are responsible for reviewing, validating, editing, adapting, and approving all Outputs before relying on, publishing, sending, implementing, or sharing them.
You agree not to rely on EM AI as the sole basis for important business, financial, legal, tax, compliance, employment, investment, health, safety, or other high-impact decisions.
Executive Minds LLC does not knowingly use customer prompts, uploads, or outputs to train public third-party language models.
Based on representations from our third-party AI infrastructure provider, customer prompts, uploads, and outputs submitted through EM AI are not used to train third-party language models.
Aggregated, anonymized, or de-identified information may be used by Executive Minds LLC or its providers to operate, secure, maintain, improve, support, analyze, and optimize EM AI and related services.
Do not submit sensitive, regulated, legally restricted, or confidential third-party information unless you are authorized to do so and have confirmed that EM AI is appropriate for that use.
Do not submit restricted, unauthorized, highly sensitive, regulated, classified, legally restricted, or confidential third-party information unless Executive Minds LLC has expressly agreed in writing that the service is appropriate for that use.
This includes health information, government identification numbers, full payment card information, bank account information, children’s information, biometric data, passwords, authentication credentials, highly confidential trade secrets, or information subject to strict regulatory controls.
The Services provide educational, informational, strategic, and business decision-support content.
The Services do not provide legal, tax, accounting, investment, medical, mental health, employment, cybersecurity, regulatory, or other licensed professional advice.
You should consult qualified professionals before making decisions that may have legal, financial, tax, compliance, employment, medical, cybersecurity, or other significant consequences.
Executive Minds LLC does not guarantee any specific business result, revenue increase, cost reduction, customer acquisition outcome, profitability improvement, productivity gain, financial outcome, or return on investment.
Your results depend on many factors outside our control, including your business model, market, offer, execution, team, data quality, customer base, budget, timing, and decision-making.
You are responsible for providing accurate information, reviewing Outputs before use, maintaining compliance, securing your accounts and devices, protecting login credentials, and making your own business, legal, financial, operational, and strategic decisions.
You are also responsible for ensuring the Services are appropriate for your business, legal, compliance, and operational needs.
You may not use the Services to:
If Executive Minds LLC provides consulting, setup, training, or implementation support for a third-party platform, you remain responsible for maintaining your own account, paying third-party platform fees, complying with third-party terms, managing users and permissions, reviewing configurations, and ensuring the platform is appropriate for your needs.
Executive Minds LLC is not responsible for third-party platform outages, errors, security incidents, pricing changes, feature changes, access restrictions, model changes, data retention practices, or discontinuation of services.
Executive Minds LLC may offer meetings, webinars, onboarding sessions, group calls, coaching sessions, support sessions, demos, or training sessions.
Sessions may be hosted using Zoom, Microsoft Teams, Google Meet, Go High Level, Fathom, or similar providers.
Sessions may be recorded, transcribed, summarized, or analyzed for training, support, customer success, quality assurance, documentation, or internal improvement purposes, where permitted by law and with notice where required.
All intellectual property is owned by Executive Minds LLC or its licensors.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, reproduce, create derivative works from, or exploit any part of the Services.
Nothing in these Terms transfers ownership of Executive Minds LLC intellectual property or third-party provider intellectual property to you.
If you provide comments, suggestions, ideas, testimonials, reviews, or feedback, Executive Minds LLC may use that feedback to improve, operate, and market the Services without compensation to you.
We do not guarantee uninterrupted, error-free, secure, accurate, complete, or always-available service.
The Services may be unavailable due to maintenance, upgrades, outages, vendor issues, AI provider limitations, payment processor issues, internet failures, security events, or other causes.
Changes by third-party providers may impact the Services.
If a third-party provider changes, limits, suspends, terminates, increases pricing, restricts access, discontinues functionality, or otherwise affects the Services, Executive Minds LLC may modify, suspend, replace, migrate, or discontinue the affected Services.
Executive Minds LLC may suspend or terminate your access for payment failure, violation of these Terms, misuse of the Services, legal compliance reasons, third-party provider restrictions, security risks, or conduct that creates risk for Executive Minds LLC, other users, providers, or the Services.
Termination does not eliminate payment obligations that accrued before termination.
The Services are provided “as is” and “as available” without warranties of any kind.
To the fullest extent permitted by law, Executive Minds LLC disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and suitability for your business needs.
To the fullest extent permitted by law, Executive Minds LLC will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages arising from or related to the Services.
To the fullest extent permitted by law, Executive Minds LLC’s total aggregate liability for all claims related to the Services will not exceed the amount you paid to Executive Minds LLC for the applicable Services in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Executive Minds LLC, its owners, officers, employees, contractors, partners, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your use or misuse of the Services, your User Content, your violation of these Terms, your violation of applicable law or third-party rights, your reliance on Outputs, or your unauthorized submission of confidential, sensitive, regulated, or third-party data.
You agree to comply with applicable export control, sanctions, and trade laws.
You may not use the Services if you are located in, controlled by, or acting on behalf of a restricted country, person, organization, or entity under applicable sanctions laws.
Executive Minds LLC may update, modify, suspend, replace, or discontinue any part of the Services at any time.
We may update these Terms from time to time.
If we make material changes, we will provide notice by posting updated Terms, sending an email, or using another reasonable method.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms, EM AI, or the Services will first be subject to good faith negotiation.
If the dispute is not resolved within 30 days after written notice of the dispute, the dispute will be settled by binding arbitration administered under Wyoming law in Sheridan County, Wyoming, unless applicable law requires otherwise.
Each party will bear its own costs unless awarded otherwise by the arbitrator or required by applicable law.
This dispute resolution clause survives termination of these Terms.
To the fullest extent permitted by law, you waive the right to a jury trial, except to enforce an arbitration award or where such waiver is not permitted by law.
